Our merger, acquisition and divestiture advisory practice is focused on assisting a clients in the exploration of strategic transaction opportunities to achieve their objectives. When approaching a transaction, we consider the full range of client interests including price, structure, tax and legal treatment, and ongoing management and employee interests, in order to develop strategies and structures that maximize the after-tax value of each transaction.

 

Sell-Side Advisory 

 

The focus of our sell-side advisory business is assisting companies interested in exploring the potential sale or merger of all or part of their businesses. In many cases, clients engage our firm when they have been approached by a buyer (strategic or financial) and are in need of advice on a potential transaction. Each assignment is tailored for the client, but our fundamental process for sell-side advisory services includes the following:

 

  • Performing a detailed review of the company’s strategic position, operations and opportunities

We work with owners and management to develop an understanding of the key value drivers of the business by undertaking a comprehensive review of the company’s strategic and financial position, operations and market opportunities. Additionally, we work with the board and/or owners of the business to ensure we understand the objectives and goals associated with any transaction. Ultimately, we position the company to potential buyers in a highly tailored fashion designed to maximize value for shareholders. 

 

  • Identifying and contacting potential buyers

We utilize our extensive relationships with active strategic and financial buyers to ensure that an exhaustive search is performed to build a targeted, yet comprehensive list of potential buyers.

 

  • Managing the transaction process

We tailor each transaction to the needs and circumstances of our clients.  From a negotiated sale to a full auction, we run an efficient and organized sale process. Our team is experienced in facilitating the due diligence process and in executing and managing all aspects of sell-side transactions, a core competency of our firm.

 

  • Final negotiation and deal implementation

W Partners assesses each situation to meet unique shareholder and management interests. We balance business, legal and financial tradeoffs in the negotiation process, and concern ourselves with every detail of the transaction to ensure that our clients’ interests are being best served throughout the due diligence, negotiation and closing process.

Buy-Side Advisory

 

We assist clients in establishing a disciplined acquisition strategy and provide our clients with trusted, independent advice in analyzing the full range of alternatives and implications that each potential acquisition may have on long-term shareholder value.

Strategic Advisory

W Partners seeks to provide thoughtful, independent advice and analysis for clients that are contemplating critical strategic or financial decisions. We explore and analyze in detail the available strategic and financial alternatives to help determine which particular strategic path or potential transaction meets our clients’ objectives.

 

W Partners always seeks to present a full spectrum of alternatives to our clients, which can include:

 

  • Recapitalization of the current capital structure, including changes in the amount of financial leverage

  • Private financings, including minority capital injections by financial sponsors and dividend recapitalizations

  • A full or partial sale to current management

  • A sale or merger with a public or private competitor or a sale to a private equity group or family office

  • An acquisition of a competing publicly held, private or family owned company

  • Forming a joint venture

  • Continued growth through internally generated capital

 

For each potential transaction we evaluate our client’s business as well as that of the counterparty and work closely with legal and other professionals to analyze the expected market, financial, tax and operational implications of a merger, acquisition or other transaction.

​Family Office Business Advisory

 

W Partners works with family offices that inherently have unique characteristics requiring special focus and tailored services. We seek to be a trusted advisor as we  provide a family office with strategic and financial advice, and assist in executing mergers, acquisitions and financings for their businesses. Other solutions we provide to family offices include board and governance matters, management structures and incentives, succession and other family matters. We have significant experience in providing independent, trusted advice to large family offices.

 
 
 
 
Private Capital Raising

 

W Partners senior team has extensive experience raising capital for middle market companies in various stages of development and across a variety of industry sectors, with a focus on placing equity and debt capital for privately held and family owned companies. We have no minimum but generally target institutional capital raises of at least $10 million. Our team leverages its deep relationships with financial sponsors which include traditional sources such as venture capital, growth capital, commercial debt, subordinated debt, mezzanine debt and buyout funds to less-obvious partners such as special situations and hedge funds.
